Introduction

Welcome to Peer Circle App and our Terms of Use (the “Agreement”). This Agreement is important and contains terms and conditions that affect your legal rights, so please read it carefully. These Terms of Use constitute a legally binding agreement (the “Agreement”) between you and weDstll Inc. ("weDstll," "Peer Circle App," "weDstll Platform," "Mobile app " "we," "us," or "ours") governing your use of the Peer Circle App application, website, and technology platform (collectively, the “Peer Circle App Platform”) pursuant to which we provide beauty and wellness real-time chat spaces and services (the “Services”). You agree to be bound by the terms and conditions contained in this Agreement and all other terms incorporated herein by reference.

Acceptance of Terms

By entering into this Agreement, you acknowledge that you understand this Agreement and accept all of its terms. If you are entering into this Agreement on behalf of a legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “You” or “Yours” refer to such entity.

BY CLICKING ON THE CHECKMARK BUTTON AND COMPLETING THE REGISTRATION PROCESS, YOU ACKNOWLEDGE THAT YOU HAVE REVIEWED AND ACCEPT THE AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT OR DO NOT HAVE THE AUTHORITY TO BIND THE ENTITY TO THIS AGREEMENT, YOU MAY NOT USE OR ACCESS THE PEER CIRCLE APP PLATFORM.

Unless otherwise stated herein, all defined terms shall have the meaning set forth in the Terms of Use and Privacy Policy.

Additional Terms and Conditions

Some of the Services may be subject to additional terms and conditions we specify from time to time; your use of such Services is subject to those additional terms and conditions, which are incorporated into this Agreement by reference. This Agreement applies to all users of the Peer Circle App Platform.

Modifications to the Agreement

We reserve the right at our sole discretion to change or modify portions of this Agreement at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date this Agreement was last revised. You may read a current effective copy of this Agreement at any time by selecting the “Terms of Use” link on the Peer Circle App Platform. We will also notify you of any material changes through e-mail or through other reasonable means. Your continued use of the Peer Circle App Platform after any such changes constitutes your acceptance of the new Agreement. You should periodically visit this page to review the current Agreement so you are aware of any revisions to which you are bound. If you do not agree to abide by this or any future Agreement, do not use or access (or continue to use or access) the Peer Circle App Platform.

Arbitration Notice and Class Action Waiver

ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION SECTION BELOW OR WHERE PROHIBITED BY APPLICABLE LAW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Personal Data Management

We hold onto your personal data only for the duration necessary to serve the purposes it was gathered for, or as mandated by legal requirements. You have the right to ask for your personal data to be deleted at any point, and we will act on your request in compliance with the laws in place. In the event you choose to delete your account, we will erase or anonymize your personal data, unless we are legally obligated to retain it.

Data Anonymization Process:

  • Data Collection: We collect various data from users, including personal information, usage patterns, and location data.
  • Data Anonymization: Personally identifiable information (PII) such as names, addresses, and telephone numbers are either masked, encrypted, or replaced with random values. Techniques used include:
    • Data Masking: Creating a mirror-image version of a database and scrambling identifying information.
    • Generalization: Reducing the precision of data to make it less identifiable.
    • Perturbation: Adding random noise to the data to protect it.
    • Advanced Techniques: Implementing k-anonymity, l-diversity, t-closeness, and differential privacy to anonymize data while preserving its utility.

Account Archiving

Users have the option to archive their account. When an account is archived, it is deactivated, and your profile becomes invisible to other users, but your data remains intact. Should you wish to return to our app, you can reactivate your archived account whenever you want and regain access to your data.

Data Security

We implement robust security measures to protect your personal information. These measures include:

  • Data Encryption: Encrypting sensitive data during storage and transmission.
  • Secure Storage Solutions: Ensuring data is stored on secure servers with restricted access.
  • Regular Security Audits: Conducting frequent security audits to ensure the integrity and confidentiality of your data.
  • Biometric Authentication: Using unique biological characteristics such as fingerprints, facial features, and voice patterns for user identity verification.
  • Two-Factor Authentication: (2FA): Adding an extra layer of security by requiring a second form of verification.
  • Training and Awareness: Training staff on social media security awareness and educating users about potential risks.

While data anonymization and these security measures enhance user privacy and data protection, it is important to note that no system can be entirely foolproof. Therefore, we continually update our techniques to keep up with evolving privacy threats and remain vigilant in safeguarding your data.

Eligibility

Age of Consent

If you are below the age of consent under applicable law in the country in which you reside, then your parent or legal guardian must read and accept this Agreement in your name and on your behalf.

Minimum Age Requirement

You represent and warrant that you are at least 18 years of age. If you are under age 18, you may not under any circumstances or for any reason use the Peer Circle App Platform. We may, in our sole discretion, refuse to offer the Services to any person or entity and change our eligibility criteria at any time.

Testing and Trials

We continually test new features, functionalities, services, user interfaces, and products that we are considering incorporating into or providing through our Peer Circle App Platform. We reserve the right to include or exclude you from these tests without notice.

Compliance Responsibility

You are solely responsible for ensuring that your use of the Services complies with all laws, rules, and regulations applicable to you. If the applicable law in the country in which you reside requires that you must be older than 13 to receive certain Services, then the minimum age is the legally required one. If you are a minor, you may wish to consult your parents about what portions of the Services are appropriate for you. The right to access the Peer Circle App Platform is revoked where this Agreement or use of the Peer Circle App Platform is prohibited or to the extent offering, sale, or provision of the Services conflicts with any applicable law, rule, or regulation.

Consequences for Providing False Information

Providing false information regarding your age or eligibility can result in serious consequences, including but not limited to:

  • Violation of Terms of Service: Misrepresenting your age is a violation of the Terms of Service.
  • Account Suspension or Ban: If your real age is discovered, you could face removal from the service or even a lifetime ban.
  • Defamation: If false information is spread that damages a person’s reputation, it could be considered defamation. This could lead to legal consequences, including financial compensation claims.
  • Privacy Violation: Posting or sharing confidential information could result in prosecution for breach of applicable privacy legislation.
  • False Affidavits: Providing false information in an affidavit can lead to legal consequences. If the Crown proceeds by indictment, a false affidavit charge carries a maximum sentence of no more than two years in jail. If the Crown proceeds summarily, the maximum jail sentence is six months.

Registration

Account Registration and Management

You may register for an account on the Peer Circle App Platform (an “Account”) or log in using your mobile phone number. While not all features of the Peer Circle App Platform require an Account, certain functionalities, such as accessing your history, do require registration. You must provide accurate and complete information and keep your Account information updated. You shall not: (i) select or use a username with the intent to impersonate another person; (ii) use a username that is subject to any rights of a person other than you without appropriate authorization; or (iii) use a username that is offensive, vulgar, or obscene.

You are solely responsible for all activity on your Account and for maintaining the security of your password. You may not use another person’s Account or registration information for the Peer Circle App Platform without permission. You must notify us immediately of any changes in your eligibility to use the Peer Circle App Platform, security breaches, or unauthorized use of your Account. You should never publish, distribute, or post login information for your Account. Each user is allowed to create only one account. Creating multiple accounts is strictly prohibited and may result in the suspension or termination of all associated accounts.

Account Deletion and Archiving

You have the option to either delete or archive your Account at any time. Deleting your Account will result in the permanent loss of your data. Archiving your Account will deactivate it and make your profile invisible to other users, but your data will be preserved. If you decide to return to our app, you can reactivate your archived account at any time and regain access to your data, as described in our Privacy Policy.

Account Recovery Process

If your account is compromised, follow the steps below to recover it and secure your information:

  • Identify the Compromise:
    • Signs that an account has been hacked include:
      • Inability to log in
      • Notifications about changes to your username or password that you didn’t make
      • Unrecognized devices or locations logging into your account
      • Friends or family reporting emails or messages you didn’t send
  • Secure Your Device:
    • Update your computer security software
    • Run a scan and delete any identified suspicious software
    • Restart your computer after this process
  • Account Recovery:
    • Follow the Peer Circle App Platform’s account recovery instructions. This usually involves:
      • Answering security questions
      • Providing identification for verification
    • Some platforms may have a “forgot my account” or “account recovery” webpage.
  • Regain Control:
    • Once you’ve regained access to your account, take steps to secure it:
      • Change your password to a strong one that is hard to guess
      • Sign out of all devices to ensure anyone who’s logged in to your account on another device gets logged out
      • Enable two-factor authentication (2FA) if available
  • Check Account Settings:
    • Review your account recovery information and make sure the recovery email addresses and phone numbers listed are ones you entered and have access to
    • Check your email settings to see if there are rules set up to forward emails
  • Notify Contacts:
    • Inform your contacts about the hack so they can be aware of any suspicious messages or requests they may have received from your account

If you use biometrics or SMS for login, ensure these methods are updated and secure. Regularly check for and act on any notifications related to your account security to maintain its integrity.

Use of the Peer Circle App Platform

Content Ownership and Use

The Peer Circle App Platform contains material, including but not limited to software, text, graphics, and images (collectively referred to as the “Content”). We may own the Content, or portions of the Content may be made available to us through arrangements that we have with third parties. We do not guarantee that any Content you access on or through the Peer Circle App Platform is or will continue to be accurate. The Content is protected by Canadian and foreign intellectual property laws. Unauthorized use of the Content may result in violation of copyright, trademark, and other laws. You have no rights in or to the Content, and you will not use, copy, or display the Content, including but not limited to use of framing or mirrors, except as permitted under this Agreement. No other use is permitted without our prior written consent. You must retain all copyright and other proprietary notices contained in the original Content on any copy you make of the Content. You may not sell, transfer, assign, license, sublicense, or modify the Content or reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use the Content in any way for any public or commercial purpose. The use or posting of any of the Content on any other website or in a networked computer environment for any purpose is expressly prohibited. If you violate any part of this Agreement, your right to access and/or use the Content and Peer Circle App Platform shall automatically terminate, and you shall immediately destroy any copies you have made of the Content.

User-Generated Content and Rights Retained by Users

By submitting, posting, or displaying any content on or through the Peer Circle App Platform (collectively “User-Generated Content”), you retain all ownership rights in your User-Generated Content. However, you grant us a non-exclusive, royalty-free, worldwide, transferable, sublicensable, perpetual, and irrevocable license to use, distribute, reproduce, modify, adapt, create derivative works from, publicly perform, and publicly display your User-Generated Content in connection with the operation and promotion of the Peer Circle App Platform and our Services. This license continues even if you stop using our Services.

You represent and warrant that you have all necessary rights to grant the above license to us and that your User-Generated Content does not infringe, misappropriate, or violate any intellectual property, privacy, or other rights of any third party. You are solely responsible for your User-Generated Content and the consequences of posting or publishing it.

You may remove your User-Generated Content from the Peer Circle App Platform at any time. However, some of your User-Generated Content may remain in archived copies and backups maintained by us. If you delete your account, we will delete or anonymize your User-Generated Content in accordance with our Privacy Policy, unless we are legally required to retain it.

If you believe that any content on the Peer Circle App Platform infringes your intellectual property rights, please contact us immediately so that we can investigate and take appropriate action.

Trademarks

The trademarks and logos of weDstll (the “weDstll Trademarks”) used and displayed in connection with the Services are unregistered trademarks of weDstll. Other company, product, and service names located on the Peer Circle App Platform or otherwise used in connection with the Services may be trademarks or service marks owned by third parties (the “Third Party Trademarks” and collectively with the weDstll Trademarks, the “Trademarks”). Nothing on the Peer Circle App Platform, in the Services, or in this Agreement should be construed as granting by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Peer Circle App Platform or otherwise used in connection with the Services without our prior written consent specific for each such use. The Trademarks may not be used to disparage us or any applicable third party, our or the applicable third party’s products or services, or in any manner (using commercially reasonable judgment) that may damage any goodwill in the Trademarks. Use of any weDstll Trademarks as part of a link to or from any website is prohibited without our prior written consent. All goodwill generated from the use of any weDstll Trademark shall inure to our benefit.

Prohibited Actions

You agree not to:

  • (a) Take any action that imposes an unreasonable load on the Peer Circle App Platform’s infrastructure;
  • (b) Use any device, software, or routine to interfere or attempt to interfere with the proper working of the Peer Circle App Platform or any activity being conducted on the Peer Circle App Platform;
  • (c) Attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising or making up the Peer Circle App Platform;
  • (d) Delete or alter any material we or any other person or entity posts on the Peer Circle App Platform; or
  • (e) Otherwise take any action in violation of our guidelines and policies.

Third-Party Sites and Services

External Sites

The Peer Circle App Platform may contain links to third-party websites, services, or other resources on the Internet, including but not limited to sponsors and social media, and other websites, services, or resources may contain links to the Peer Circle App Platform (“External Sites”). These links are provided solely as a convenience to you and not as an endorsement \ by us of the content on such External Sites. The content of such External Sites is developed and provided by others.

We are not responsible for the content or data practices of any linked External Sites and do not make any representations regarding the content or accuracy of any materials on such External Sites. You should contact the site administrator for those External Sites if you have any concerns regarding such links or any content located on such External Sites. We recommend you review the privacy policies and terms of use of these External Sites to understand their data practices. You should take precautions when downloading files from all websites to protect your device from viruses and other destructive programs. If you decide to access any External Sites, you do so at your own risk.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any External Sites. In compliance with Canadian regulations, we also make reasonable efforts to ensure that any harmful content, including non-consensually distributed intimate images and child sex abuse material, is inaccessible within 24 hours of identification.

Third-Party Analytical Software

The Peer Circle App Platform may use third-party analytical software to enhance user experience and provide better services. This software may collect and analyze data regarding your use of the Peer Circle App Platform. Any data collected through such software will be handled in accordance with our Privacy Policy. We disclaim any liability for the data practices of these third-party services, and we encourage you to review their respective privacy policies. In accordance with the Online Harms Act, we are committed to implementing measures to mitigate the risk of exposure to harmful content and ensure transparency in reporting content removals.

Affiliate Marketing

We may participate in affiliate marketing and may allow affiliate links to be encoded on some of our pages. This means that we may earn a commission if/when you click on or make purchases via affiliate links. The inclusion of these links does not imply any endorsement, approval, or recommendation by us. You acknowledge that you access these affiliate links at your own risk and that we are not responsible for the content or data practices of any sites that are linked through affiliate marketing. We advise reviewing the privacy policies and terms of use of these affiliated sites to understand their data practices.

User Content

User Content

With respect to the Photos (as defined below), Submissions (as defined below), and any content or other materials you provide to or upload through the Peer Circle App Platform or share with other Peer Circle App Platform users or recipients (collectively “User Content”), you represent and warrant that you own all right, title, and interest in and to such User Content, including without limitation all copyrights and rights of publicity contained therein, and that all User Content provided by you is accurate, complete, up-to-date, and in compliance with all applicable laws, rules, and regulations. You shall not (and shall not permit any third party to) take any action or upload, post, or otherwise distribute any User Content that infringes any patent, trademark, trade secret, copyright, right of publicity, or other right of any other person or entity, or violates any law or contractual duty. You shall not (and shall not permit any third party to) take any action or upload, post, or otherwise distribute any User Content that you know is false, misleading, untruthful, or inaccurate, or is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, profane, contains or depicts nudity, contains or depicts sexual activity, or is otherwise inappropriate as determined by us in our sole discretion.

Instagram Content

The Peer Circle App Platform may pull content from our users who share photos and videos on Instagram using our brand hashtags, including without limitation #PeerCircleApp #BeautyChat #WellnessChat #PeerCircleBeauty (collectively the “Peer Circle App Hashtags”) or tagging the @PeerCircleApp or @PeerCircleBeauty (collectively “Photos”). You acknowledge and agree that the Photos may be used on the Peer Circle App Platform, and you hereby grant us permission to use and authorize others to use your name or social media handle in association with the Photos for identification, publicity related to the Services, and similar promotional purposes, including after your termination of your Account or the Services. You represent and warrant that the posting and use of your Photos, including to the extent such Photos include your name, username, likeness, voice, or photograph, does not violate, misappropriate, or infringe on the rights of any third party, including without limitation privacy rights, publicity rights, copyrights, trademark, and other intellectual property rights.

License to Use User Content

By uploading any User Content, you hereby grant and will grant weDstll and its affiliated companies, successors, and assigns a nonexclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to reproduce, adapt, publish, create derivative works from, copy, display, upload, publicly perform, distribute, store, modify, and otherwise use your User Content and any name, username, likeness, voice, or photograph provided in connection with your User Content without compensation to you in connection with the operation of the Peer Circle App Platform or the promotion, advertising, or marketing of the Services in any form, medium, or technology now known or later developed, including after the termination of your Account or the Services. For clarity, the foregoing license does not affect your other ownership or license rights in your User Content, including the right to grant additional licenses to your User Content unless otherwise agreed in writing. You represent and warrant that you have all rights to grant such licenses to us without infringement or violation of any third-party rights, including without limitation any privacy rights, publicity rights, copyrights, trademarks, contract rights, or any other intellectual property or proprietary rights.

Waiver of Rights

Except where prohibited by applicable law, by submitting User Content through the Peer Circle App Platform, you are waiving and agreeing not to assert any copyrights or “moral” rights or claim resulting from our alteration of the User Content or any Photos, Submissions, photograph(s), footage, illustrations, statements, or other work contained in the User Content. You are also agreeing to appoint weDstll as your irrevocable attorney-in-fact with respect to the User Content, with the right to execute and deliver any documents in your name and on your behalf to ensure that we can use the User Content that you are licensing in any way we see fit, own and protect the rights in any derivative works created from your User Content, and have the User Content removed from any other website or forum.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about the Services (collectively “Submissions”) that you provide to us are non-confidential, and we will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without your acknowledgment or compensation to you.

Preservation and Disclosure

You acknowledge and agree that we may preserve User Content and may also disclose User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:

  • (a) Comply with legal process, applicable laws, or government requests;
  • (b) Enforce this Agreement;
  • (c) Respond to claims that any User Content violates the rights of third parties; or
  • (d) Protect the rights, property, or personal safety of weDstll, our users, and the public. You understand that the technical processing and transmission of the Peer Circle App Platform, including your User Content, may involve (i) transmissions over various networks; and (ii) changes to conform and adapt to technical requirements of connecting networks or devices.

You have full control over the personal information you share on the Peer Circle App Platform. You can adjust your privacy settings to determine what information is shared and with whom. You can also access, update, or delete your personal data through your account settings.

Instead of traditional advertising, brands pay for Value Data Licensing subscriptions, which allow them to access anonymized user data to provide personalized experiences. You have control over what data is shared and can adjust your settings at any time.

User Comments, Feedback, and Other Submissions

General Terms

If, at our request, you send certain specific submissions (for example, contest entries) or without a request from us, you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, or otherwise (collectively 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

Monitoring and Editing

We may, but have no obligation to, monitor, edit, or remove content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

Content Compliance

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive, or obscene material or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

Severability

Severable Provisions

In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

Termination

Termination by User

Termination by Us

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

Complete Agreement

These Terms of Service and any policies or operating rules posted by us on this Peer Circle App Platform or in respect to The Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including but not limited to any prior versions of the Terms of Service).

We reserve the right to remove any content or user that violates these Community Guidelines or our Terms of Service. Repeated or severe violations may result in the suspension or termination of your account.

Reporting Violations

If you see something that you believe violates our Community Guidelines, please report it to us. We take all reports seriously and will investigate and take appropriate action.

Dispute Resolution

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each "Dispute" and collectively the “Disputes”) brought by either you or us (individually a “Party” and collectively the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least one hundred eighty (180) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels, Avenue Louise 146) according to the Rules of this ICAC, which as a result of referring to it is considered as the part of this clause. The number of arbitrators shall be three (3). The seat or legal place of arbitration shall be Toronto, Canada. The language to be used in the arbitral proceedings shall be English. The governing law of the contract shall be the substantive law of Canada.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of any of the intellectual property rights of a Party; (b) any Dispute related to or arising from allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
